Nigeria’s Attorney General has directed the country’s Corporate Affairs Commission (CAC) to immediately rescind all administrative measures taken against companies linked to Ghanaian business magnate Sir Sam Jonah, declaring that no criminal case has been established against him and his associates.
The dispute follows a formal petition by Ghanaian statesman Sir Sam Jonah to Ghana’s Minister for Foreign Affairs, Samuel Okudzeto Ablakwa.
In the petition dated December 13, 2025, Sir Jonah asked the government to intervene diplomatically after what he described as the unlawful seizure of his investments in Abuja’s River Park Estate by the CAC.
The order is contained in a letter from the Director of Public Prosecutions, M.B. Abubakar, acting for the Attorney General of the Federation and Minister of Justice, dated December 30, 2025.
This follows a comprehensive review of a police investigation into allegations of forgery and fraudulent activities concerning Jonah Capital Nigeria Limited and Houses for Africa Nigeria Limited.
Other individuals cleared include Mr Kojo Ansah Mensah, Mr Victor Quainoo, and Mr Abu Arome.
“The Attorney General of the Federation has determined that no prima facie case has been established against the aforementioned individuals,” the justice ministry’s letter stated conclusively.
Consequently, the CAC has been advised to “immediately rescind any administrative measures taken based on the investigation report” from the Nigerian Police Force’s monitoring unit.
The ministry further instructed the commission to “refrain from any action that will undermine the authority and integrity of the Courts.”
The controversy stems from what Sir Sam Jonah’s legal team termed the “Unlawful Expropriation of Shares, Extragiudicial Removal of Directors and Retrospective Invalidation of Corporate Filings” by the CAC’s Registrar General, based on the now-discredited police report.
