Government holds meeting with Saderea Bondholders on debt restructuring

The government of Ghana has shared details of a stakeholder meeting held with key holders of Saderea Limited bonds, signalling progress in efforts to resolve one of the country’s remaining external debt obligations.

In a detailed report shared by the Minister of Finance, Dr Cassiel Ato Forson, on X on January 6, 2025, the statement noted that the government, advised by Lazard Frères and Hogan Lovells US LLP, held a private meeting with holders of the Saderea Notes.

The discussions focused on a potential debt treatment framework that could form the basis of a broader agreement.

According to a statement from the Ministry of Finance, both parties discussed a “joint working scenario” aimed at fostering mutual understanding on financial terms.

The statement added that holders of the Saderea Notes and other investors, who control approximately 97.5 per cent of the outstanding shares, remain subject to further refinement and negotiation.

“During the above-referenced discussions, the Government and the Saderea Ad Hoc Committee discussed a joint working debt treatment scenario (the ‘Joint Working Scenario’) that could form the basis of a mutual understanding on financial terms, which are detailed in Annexe A hereto.

“The Joint Working Scenario forms part of a broader package together with the efforts made by holders of Saderea Notes through Ghana’s 2024 Eurobond Debt Exchange,” the statement read.

The statement further noted that the Official Creditor Committee (OCC) Secretariat is currently assessing the compatibility of the economic terms of the Joint Working Scenario with the Comparability of Treatment principle.

The Ministry of Finance also indicated that the government and the Saderea Ad Hoc Committee have agreed to continue discussions toward reaching a conclusive agreement.

However, it cautioned that ongoing talks do not guarantee a final deal.

“The government and the Saderea Ad Hoc Committee, therefore, intend to continue discussions in respect of the Joint Working Scenario and other matters related to a potential agreement between the parties. There is no assurance that any such agreement will be reached,” the statement added.
